Threadpool Terms of Service

Section 1 — Acceptance of Terms

By creating an account on Threadpool you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. These terms apply to all users including clothing brands and creators. You must be at least 18 years old and a United States resident to use Threadpool.

Section 2 — Description of Service

Threadpool is a fashion creator marketplace where clothing brands create pay-per-view campaigns and Instagram creators earn money by creating content featuring the brand's clothing. Threadpool is a technology platform only. We are not a talent agency, employer, staffing company, or party to any agreement between brands and creators beyond what is facilitated through our platform.

Section 3 — Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You may not share your account with others or operate multiple accounts for the same brand or creator identity. One brand account is permitted per clothing brand. Threadpool reserves the right to verify account information and suspend accounts that provide false information. Creator accounts require a connected Instagram Creator or Business account verified through Instagram's OAuth system. Brand accounts require a connected Instagram account and a verified clothing website URL.

Section 4 — Platform Fees and Payments

Brand fees: Brands pay a 10% platform fee on their total campaign creator budget at the time of deposit. This fee is calculated as follows: if a brand sets a $5,000 creator budget, the total deposit is $5,500 ($5,000 creator budget plus $500 platform fee). The platform fee is non-refundable under any circumstances regardless of campaign performance, cancellation, or outcome.

Creator earnings: Creators keep 100% of their earned campaign payouts. No fees are deducted from creator earnings.

Unspent budget: Unspent creator budget is refunded automatically to the brand when a campaign ends. The platform fee is not included in this refund.

Payment processing:All payments are processed through Stripe. By using our payment features you agree to Stripe's Terms of Service. Threadpool does not store credit card or bank account numbers directly.

Payout timing: Creator earnings are paid out after the campaign ends. Earnings accrue during the campaign but are not distributed until campaign conclusion to allow for fraud review and view verification.

Section 5 — Campaign Rules for Brands

Brands must deposit their full campaign budget plus the 10% platform fee before a campaign goes live. Deposited funds are held by the platform and cannot be accessed or withdrawn by the brand once deposited. Brands may pause or end campaigns at any time. Brands are responsible for ensuring their campaign content requirements comply with all applicable laws and do not infringe on third-party intellectual property rights. New brand accounts are subject to manual verification before their first campaign can go live. Threadpool reserves the right to decline to verify any brand account at its sole discretion.

Section 6 — Content Rules for Creators

Organic views only: Only views generated organically count toward earnings. Views generated through paid promotion, boosted posts, purchased traffic, artificial inflation, bots, or any other inauthentic means do not count and will result in immediate account suspension and forfeiture of all pending earnings.

Creator must appear in content: All content submitted to campaigns must feature the creator themselves. Faceless videos, AI-generated content, reposted content, stock footage, or content in which the creator does not personally appear will be rejected and may result in account suspension.

Pre-approval required: Content must be submitted for brand review and approved before being posted to Instagram. Posting content before receiving approval forfeits the submission slot.

Post integrity: Once a post is live and being tracked by the platform, deleting, archiving, or making the post private while the campaign is active forfeits all unpaid earnings associated with that post. Threadpool is not responsible for earnings lost due to creator-initiated post removal or Instagram account changes.

One submission per content type: Creators may submit one post per available content type per campaign. One resubmission is permitted per rejected slot after the brand provides a rejection reason.

Auto-approval: Submissions not reviewed by a brand within 48 hours are automatically approved.

Section 7 — Intellectual Property

Creators retain ownership of their submitted content. By submitting content to a campaign, creators grant Threadpool and the relevant brand a non-exclusive, royalty-free license to display the content within the platform for the duration of the campaign and for promotional purposes related to the platform. Brands do not acquire ownership of creator content through campaign participation. Creators represent and warrant that they own all rights to their submitted content and that it does not infringe on any third-party intellectual property rights.

Section 8 — Prohibited Conduct

You may not use Threadpool to: Submit false, misleading, or fraudulent content or account information. Artificially inflate view counts through any means including bots, click farms, purchased views, or coordinated inauthentic behavior. Harass, impersonate, threaten, or deceive other users. Violate any applicable federal, state, or local law or regulation. Operate multiple accounts for the same brand or creator identity. Circumvent platform fees, payment systems, or verification processes. Scrape, copy, or reproduce platform content or data without permission. Upload malicious code, viruses, or harmful software. Use the platform for any purpose other than its intended fashion creator marketplace function.

Section 9 — Disputes Between Users

Threadpool provides a dispute resolution system for disagreements between brands and creators regarding submissions and payments. Disputes must be submitted through the platform's dispute system with supporting evidence. Threadpool will review disputes within 48 business hours and make a final determination at its sole discretion. Threadpool's decision on disputes is final and binding. No earnings are distributed during an active dispute. In ambiguous cases Threadpool sides with the brand by default. Threadpool is not responsible for resolving disputes that arise outside the platform or that relate to clothing purchases, product quality, shipping, or any transaction that occurs between brands and creators independent of the platform.

Section 10 — Disclaimers and Limitation of Liability

THREADPOOL IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THREADPOOL IS A MARKETPLACE PLATFORM ONLY. WE ARE NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, LEGALITY, OR OUTCOME OF ANY CAMPAIGN, CREATOR CONTENT, CLOTHING PRODUCT, OR TRANSACTION. WE DO NOT GUARANTEE ANY SPECIFIC EARNINGS FOR CREATORS OR ANY SPECIFIC RESULTS FOR BRANDS.

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, THREADPOOL'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY THAT USER TO THREADPOOL IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL THREADPOOL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section 11 — Indemnification

You agree to indemnify, defend, and hold harmless Threadpool and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, your content, or your violation of any rights of another party.

Section 12 — Instagram and Meta Platform Compliance

Threadpool uses Meta's Instagram API to provide platform functionality. By using Threadpool you acknowledge that your use of Instagram data through our platform is subject to Meta's Terms of Service and Platform Policies. Threadpool is not affiliated with, endorsed by, or sponsored by Meta Platforms Inc. or Instagram.

Section 13 — View Tracking and Earnings Calculations

View counts are pulled directly from Instagram's API using the creator's authenticated account. Threadpool makes reasonable efforts to accurately track view counts but is not responsible for discrepancies caused by Instagram API delays, outages, changes to Instagram's platform, or Instagram's own view count adjustments. Earnings are calculated based on the view counts reported by Instagram's API at the time of calculation.

Section 14 — Account Termination

Threadpool reserves the right to suspend or terminate any account at any time for any violation of these Terms or for any conduct we determine to be harmful to the platform or its users. Creators with active pending earnings at the time of termination for cause forfeit all unpaid balances. Brands with active campaigns at the time of termination will receive a prorated refund of unspent creator budget at Threadpool's sole discretion. Platform fees are non-refundable upon termination regardless of cause.

Section 15 — Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. Any legal dispute arising from these Terms must be brought exclusively in the state or federal courts located in San Diego County, California. You waive any objection to jurisdiction or venue in those courts. For disputes under $10,000 you agree to first attempt resolution through Threadpool's internal dispute process before initiating legal proceedings.

Section 16 — Changes to Terms

Threadpool may update these Terms at any time. We will notify you of material changes by email or by posting a notice on the platform at least 7 days before changes take effect. Your continued use of Threadpool after changes constitutes acceptance of the updated Terms.

Section 17 — Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Section 18 — Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Threadpool regarding use of the platform and supersede all prior agreements.
